INDEPENDENT COURIER AND DELIVERY LOGISTICS AGREEMENT

This Independent Courier and Delivery Logistics Agreement ("Agreement") constitutes a binding corporate governance framework executed between AZ COMMUNITY BASKET LLC ("Company") and any independent network dispatch operator or courier personnel ("Driver") registering to execute logistics fulfillment on our digital platform.
1. INDEPENDENT CONTRACTOR LEGAL STATUS (ZERO-EMPLOYEE LIABILITY)
1.1. Absolute Independent Status: The Driver expressly acknowledges and agrees that their structural relationship with the Company is exclusively defined as an independent, third-party logistics contractor. Under no circumstances shall this framework constitute an employment contract, joint venture, or agency representation.
1.2. Zero Salary and Benefit Warranty: As a young, early-stage enterprise framework, the Company provides 0% hourly wage guarantees, zero health insurance provisions, zero paid leave, and zero labor compensation reserves. The Driver operates solely on an on-demand, gig-by-gig service fee compensation schedule calculated per completed transit dispatch.
1.3. Autonomous Schedule Discretion: The Driver retains absolute operational sovereignty to log on, accept, reject, or ignore any logistical fulfillment requests broadcasted by the Admin Panel without facing administrative penalties.
2. LOGISTICAL EQUIPMENT AND OPERATIONAL CAPITAL MAINTENANCE
2.1. Fleet Asset Self-Provision: The Driver bears the exclusive financial and legal duty to provide, maintain, and secure their own operational transit asset (Personal Vehicle, Car, Delivery Van, or Cargo Truck) utilized to complete platform delivery runs.
2.2. Fuel and Maintenance Indemnification: All financial liabilities concerning fuel consumption, vehicle depreciation, wear-and-tear, maintenance overheads, tire replacement, or road tolls incurred during transit runs are 100% the personal financial burden of the Driver. AZ COMMUNITY BASKET LLC shall provide zero cash reimbursements for vehicle overheads.
2.3. Legal Arizona Compliance Standards: The Driver is legally bound to possess a valid, active Arizona Driver's License and maintain the minimum legally mandated state automotive liability insurance layer. The Company bears zero liability for any driving violations, parking surcharges, or traffic fines executed during a dispatch cycle.
3. ABSOLUTE ACCIDENT AND INJURY INDEMNIFICATION SHIELD
3.1. General Liability Waiver: The Driver operates on public roadways entirely at their own personal and professional risk. AZ COMMUNITY BASKET LLC, its administrative organizers, technical developers, and platform creators shall remain 100% legally immune and held completely harmless from any structural actions, vehicle damages, third-party properties losses, or medical liabilities resulting from automotive collisions or transit accidents during a dispatch run.
3.2. Personal Bodily Injury Disclaimer: In the event of a road incident resulting in personal bodily injury, medical hospitalization, or permanent impairment to the Driver during active fulfillment, the Driver completely waives all corporate recovery claims against the Company. The Driver acknowledges that the Company provides zero worker's compensation insurance and zero medical financial assistance.
4. REAL-TIME GEOLOCATION AND SPEED PERFORMANCE STANDARDS
4.1. Continuous Background Tracking: To validate client security thresholds and ensure platform tracking matrices are active, the Driver grants the mobile system absolute authority to track and broadcast their active background GPS coordinates from vendor pickup to customer drop-off.
4.2. Delivery Window Performance: The Driver must execute all dispatches within a modern, competitive ten (10) to forty-five (45) minute threshold to secure platform optimization. Habitual tardiness, product tampering, or non-responsiveness to customer communication logs shall result in immediate, permanent revocation of platform access.
