TERMS AND CONDITIONS FOR MARKETPLACE VENDORS

This Merchant Service Agreement governs the mandatory digital integration, subscription enrollment, and marketplace deployment of any independent retail or grocery merchant store ("Vendor", "Merchant") wishing to display, market, or sell products via the AZ COMMUNITY BASKET LLC enterprise infrastructure network.
1. VENDOR COMPLIANCE, LICENSING, AND REGISTRATION
1.1. Legal Operations Warranty: Any Vendor registering a storefront profile on our application must hold active, valid, and unexpired regulatory licenses, local business permits, and Arizona Transaction Privilege Tax (TPT) registrations required to sell physical or digital goods kisheria.
1.2. Data Accuracy Audit: Vendors must display 100% truthful data regarding product titles, descriptions, pricing metrics, inventory counts, and allergen disclosures. Displaying fraudulent, misleading, or counterfeit consumer items shall result in an immediate and permanent administrative execution ban.
2. PLATFORM SUBSCRIPTION FEES AND TRANSIT PROCESSING MATRIX
2.1. Subscription Tier Enforcement: Vendors agree to maintain active billing cycles under their selected corporate platform membership packages (Basic, Pro, or Premium Subscription Models) as established within the Admin Panel dashboard matrix.
2.2. Commercial Revenue Commission: AZ COMMUNITY BASKET LLC reserves the structural right to deduct an automated processing commission fee (e.g., 15% or a customized platform rate) from all client credit card checkouts before distributing monthly payouts.
2.3. Escrow and Payout Settlement Funds: AZ COMMUNITY BASKET LLC retains absolute escrow control over all digital consumer transaction settlements. Payouts shall be processed and deposited directly via automated merchant clearing clearinghouse networks into the Vendor's certified corporate banking registry on a fixed, scheduled monthly dispatch sequence, provided no active consumer disputes or compliance violations exist.
3. VENDOR INDEMNIFICATION AND REGULATORY SHIELD
3.1. Absolute Legal Liability: The independent Vendor assumes full, exclusive, and total legal and financial liability for all items dispatched from its facility.
3.2. Indemnity Clause: The Vendor hereby agrees to protect, defend, indemnify, and hold entirely harmless AZ COMMUNITY BASKET LLC, its founding board, technical assistants, and platform developers from any lawsuits, product liabilities, state health code violations, or consumer claims originating from the Vendor’s physical goods, delivery delays, or personnel misconduct.
